Please Note:

The following is a sample agreement for informational purposes only. If you are accepted into the SolarEvol Certified Consultant Program, you will be required to review and sign the official version of this agreement as part of your onboarding process. Terms are subject to change prior to execution.

SolarEvol Certified Consultant Legal Agreement

This Agreement (“Agreement”) is entered into by and between SolarEvol, LLC., a registered business entity with principal offices located at Sheridan, WY (“SolarEvol”), and the undersigned certified consultant (“Consultant”), collectively referred to as “the Parties.”


1. Legal Relationship

1.1 Vendor Status
Consultant acknowledges and agrees they are a vendor, not an employee, franchisee, or independent contractor of SolarEvol. Consultants must operate under a legally registered business structure (e.g., Corporation, LLC, S-Corp, or similar entity) and must provide documentation upon request.

1.2 Non-Franchise Disclaimer
This Agreement does not constitute a franchise agreement. SolarEvol does not grant Consultants any rights to use its name, trademarks, business model, or system in a manner consistent with franchise operations. Consultants do not pay franchise fees or receive the benefits or obligations associated with a franchise relationship under the Federal Trade Commission (FTC) Franchise Rule or any other law.

1.3 No Employment or Contractor Relationship
Nothing in this Agreement shall be interpreted to create an employer-employee, joint venture, partnership, or independent contractor relationship between the Parties.


2. Requirements for Participation

2.1 Legal Business Structure
Consultant affirms they possess and shall maintain a legally registered business with appropriate licensing, tax ID numbers, and any required insurance.

2.2 Compliance with Law
Consultant agrees to comply with all applicable laws, rules, and regulations while performing activities under this Agreement.


3. Term and Renewal

3.1 Annual Term
This Agreement is valid for twelve (12) months from the enrollment date.

3.2 Automatic Renewal and Billing
The Agreement will automatically renew each year. Renewal fees will be processed automatically using the payment method on file.

3.3 Opt-Out Procedure
To prevent automatic renewal, the Consultant must provide written notice at least fourteen (14) calendar days prior to the renewal date by emailing [Insert Email Address]. Otherwise, the annual fee will be charged automatically.


4. Obligations of the Consultant

4.1 Marketing and Branding Use
Consultants are permitted to use only approved SolarEvol marketing materials and may not alter, replicate, or misrepresent SolarEvol’s offerings or pricing without prior written approval.

4.2 Professional Conduct
Consultant agrees to represent SolarEvol with professionalism and honesty and to comply with the SolarEvol Certified Consultant Code of Ethics (see Section 5).


5. Code of Ethics Commitment

By signing this Agreement, the Consultant agrees to abide by the SolarEvol Certified Consultant Code of Ethics, which includes:

  • Conducting business with honesty and integrity

  • Using factual and truthful information in communications

  • Respecting client confidentiality

  • Avoiding misleading or aggressive sales tactics

  • Upholding SolarEvol’s brand reputation

  • Reporting unethical behavior by other consultants

  • Never engaging in any form of discrimination, harassment, or exploitation

Violations may result in termination without refund or prior notice.


6. Commission Payments

6.1 Commission Eligibility
Consultants are eligible to receive commission payments for completed and accepted transactions only after the customer’s payment has fully cleared and been deposited into SolarEvol’s accounts.

6.2 Payment Schedule
Commission payments will be processed on the 20th of each month for all cleared transactions received and posted to SolarEvol’s accounts by the end of the prior calendar month.

6.3 Deferred Payments
If a client’s payment has not cleared or is delayed for any reason, that commission will be rolled over and paid on the next eligible payment cycle following fund clearance.

6.4 No Advances
SolarEvol does not provide advances, partial payments, or commissions based on unpaid or pending customer invoices.


7. Fees and Payment Obligations

7.1 Consultant Fees
Consultants shall pay any applicable enrollment, renewal, or service fees as outlined during the application or renewal process.

7.2 Non-Refundable
All fees paid to SolarEvol are non-refundable, unless otherwise required by law.


8. Termination of Agreement

8.1 By SolarEvol
SolarEvol reserves the right to terminate this Agreement at any time, with or without cause.

8.2 By Consultant
Consultants may terminate their agreement with 14 days’ written notice. Termination does not entitle the Consultant to any refund.

8.3 Consequences of Termination
Upon termination, the Consultant must cease using SolarEvol’s name, branding, marketing materials, or client leads immediately.


9. Limitation of Liability

SolarEvol is not liable for Consultant business performance, legal compliance, loss of earnings, or damages incurred during their operations. Consultant is solely responsible for their tax obligations, business operations, and adherence to applicable laws.


10. General Provisions

10.1 Governing Law
This Agreement shall be governed by the laws of the State of [Insert State].

10.2 Entire Agreement
This Agreement supersedes all prior agreements or representations, written or oral, between the Parties.

10.3 Modifications
SolarEvol may update this Agreement upon renewal and will notify Consultants in writing of any material changes.
